Terms and Conditions

1. ACCEPTANCE OF TERMS

By engaging with Optimum Consultation Group ("Company," "we," "us," or "our") and/or Upward Consulting, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.

2. SERVICES

Optimum Consultation Group and Upward Consulting provide professional consulting services including, but not limited to, business strategy, operational improvement, and advisory services. The specific scope of services will be outlined in a separate engagement agreement or statement of work signed by both parties.

3. CLIENT OBLIGATIONS

Clients agree to:

• Provide accurate and complete information necessary for the delivery of services.
• Cooperate reasonably with our consultants and respond to requests in a timely manner.
• Pay all fees in accordance with the agreed payment schedule.
• Maintain confidentiality of any proprietary methodologies or tools shared during the engagement.

4. PAYMENT TERMS

Fees for services are outlined in the applicable engagement agreement. Unless otherwise specified:

• Invoices are due within 30 days of the invoice date.
• Late payments may be subject to a 1.5% monthly interest charge.
• We reserve the right to suspend services for accounts that are more than 60 days past due.

5. INTELLECTUAL PROPERTY

All methodologies, frameworks, templates, and tools developed by Optimum Consultation Group or Upward Consulting remain the exclusive intellectual property of the respective company. Deliverables created specifically for the client under a signed agreement may be used by the client for their intended purpose.

6. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of any agreement for a period of three (3) years.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law, our liability for any claims arising out of or related to our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8. TERMINATION

Either party may terminate an engagement with written notice as specified in the engagement agreement. In the event of termination, the client is responsible for payment of all fees for work completed up to the termination date.

9. GOVERNING LAW

These Terms and Conditions shall be governed by the laws of the State of Illinois, without regard to its conflict of law provisions.

10. MODIFICATIONS

We reserve the right to update these Terms and Conditions at any time. Continued use of our services after any changes constitutes acceptance of the revised terms.
